Tribune citoyenne N°3 : Participation congolaise au capital des sociétés minières en RDC :Entre inclusion, interprétation erronée et stabilité juridique

Nous venons de publier une tribune intitulée : « Participation congolaise au capital des sociétés minières en RDC : entre inclusion, interprétation erronée et stabilité juridique ».
Cette tribune entend contribuer au débat sur une question épineuse : l’inclusion des Congolais au capital social des sociétés minières. La question fondamentale que nous avons posée est de savoir si cette disposition s’applique indistinctement à toutes les sociétés minières, y compris celles constituées avant la réforme de 2018, ou si elle est limitée aux sociétés créées postérieurement à l’entrée en vigueur du Code minier du 9 mars 2018.
Notre analyse suggère que la temporalité de cette mesure ne concerne pas les sociétés minières antérieures à la réforme, et que le gouvernement devra privilégier une approche consensuelle afin d’éviter toute interprétation rétroactive.
La portée exacte de l’article 71 bis, sa temporalité et son champ d’application doivent être clarifiés pour prévenir toute interprétation approximative qui fragiliserait la sécurité juridique du secteur et la crédibilité institutionnelle.
En ce sens, cette tribune se veut une contribution constructive, à la fois juridique et citoyenne, destinée à éclairer les décideurs et nourrir le débat public sur la meilleure manière de concilier inclusion nationale et souveraineté des ressources, tout en préservant la stabilité normative indispensable au développement du secteur minier et du pays.

We have just published an article entitled: “Congolese Participation in the Capital of Mining Companies in the DRC: Between Inclusion, Misinterpretation and Legal Stability.”

This article aims to contribute to the debate on an important and complex issue: the inclusion of Congolese citizens in the share capital of mining companies. The key question we raise is whether this provision applies to all mining companies, including those established before the 2018 reform, or whether it only applies to companies created after the Mining Code of 9 March 2018 came into force.

Our analysis suggests that this measure does not apply to mining companies that existed before the reform. The government should therefore favour a consensual approach in order to avoid any retroactive interpretation.

The exact scope of Article 71 bis, its timing and its application must be clarified to prevent unclear interpretations that could weaken legal certainty in the mining sector and undermine institutional credibility.

In this regard, this article is intended as a constructive contribution, both legal and civic. It seeks to inform decision-makers and contribute to public debate on how best to combine national inclusion and resource sovereignty, while preserving the legal stability that is essential for the development of the mining sector and the country.
